Why You Should Attend
In this virtual Workshop for SEC reporting professionals, building on the SEC’s materials discussed in our Foreign Private Issuer 101 Reporting Essentials Workshop, you will develop the practical knowledge base, skills and tools needed to draft and review Parts II and III of the Form 20-F Annual Report for foreign private issuers (FPIs). This program focuses on the disclosure requirements for controls and procedures, financial statements, governance (including cybersecurity), and exhibits. Please note that the Part I item requirements of the Form 20-F are addressed in our Form 20-F (Part One) Essentials Workshop and that the Operating and Financial Review and Prospects (Item 5 of the Form 20-F) is addressed in our MD&A SEC Reporting Essentials Workshop. This is an interactive Workshop (via Zoom), and open discussion is encouraged through breakout sessions. The Workshop includes online access to PLI’s SEC Reporting Handbook.
What You Will Learn
After completing this Workshop, participants will be able to:
· Navigate Parts II and III (Items 13 through 18) of the Form 20-F, including exhibits, and their respective instructions
· Understand the key similarities and differences between Items 13 through 18 and the corresponding sections of U.S. domestic filings
· Understand the disclosure requirements of Item 15 – Controls and Procedures
· Navigate the numerous disclosures in Items 16A through 16K, such as those for “audit committee financial experts”, codes of ethics, repurchases of equity securities, changes in auditors, insider trading policies, and cybersecurity
· Understand the use of Item 17 versus Item 18 for the presentation of financial statements
· Evaluate the need for exhibits to the Form 20-F
· Be on the alert for the SEC staff’s “hot buttons,” including frequent comment areas on Parts II and III of the Form 20-F
What You Should Bring
To customize your Workshop and gain the most benefit from this interactive learning experience, we recommend you have access to your company’s or a client’s most recent SEC Form 20-F. If you work with a company that is not yet public, filings from a company in your industry are a reasonable alternative.

This session examines Part II disclosure requirements. After completing this session, participants will be able to:
